Welcome to Clipiti (“Application”). The following Terms and Conditions (“Terms”) govern your use of the Application. By using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Application.

1. General Terms

   1. The Application is a tool for macOS that allows you to send text and prompts to services such as OpenAI and NLP Cloud and receive text or images from the services.

   2. The Application is provided “as is” and we do not guarantee that it will be error-free or uninterrupted. We reserve the right to modify, suspend or terminate the Application at any time without prior notice.

   3. You agree that you will not use the Application for any illegal or unauthorized purpose, including but not limited to violating any intellectual property rights, harassing or threatening others, or violating any laws or regulations.

   4. You are solely responsible for your use of the Application and any content that you submit through the Application.

2. Privacy Policy

   1. We take your privacy seriously and we will only use your personal information as described in our Privacy Policy.

   2. By using the Application, you agree to our Privacy Policy, which is available here.

3. Intellectual Property

   1. The Application and all its contents, including but not limited to text, graphics, images, videos, and software, are the property of the application provider.

4. Disclaimer of Warranties

   1. The Application is provided “as is” and we do not make any warranties or representations, express or implied, regarding the Application or its contents.

   2. We do not guarantee that the Application will be error-free, uninterrupted, or free of viruses or other harmful components.

   3. We do not guarantee the accuracy, completeness, or usefulness of any content obtained through the Application.

5. Limitation of Liability

   1. In no event shall Ashkenazi Engineers (Jerusalem) LTD or its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Application, even if we have been advised of the possibility of such damages.

   2. To the maximum extent permitted by law, our liability to you shall be limited to the amount paid by you, if any, for accessing the Application.

6. Governing Law and Jurisdiction

   1. These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

   2. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the courts of Tel Aviv, Israel.

7. Changes to These Terms

   1. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Application after the modifications are posted will signify your acceptance of the modified Terms.

8. Intellectual Property Rights: The Application and all content and materials contained therein, including but not limited to software, designs, graphics, text, images, logos, and icons, are the property of the self-employed individual or its licensors and are protected by applicable intellectual property laws. You agree not to use, copy, modify, reproduce, distribute, sell, license, or otherwise exploit any content or materials on the Application without the prior written consent of the self-employed individual or its licensors.

9. Data Collection and Protection: We collect data from users solely for the purpose of sending text prompts to OpenAI. We do not share any collected data with any third parties except as required by law. We take reasonable steps to protect user data from unauthorized access and misuse. However, we cannot guarantee the absolute security of user data.

10. Accuracy and Reliability of Generated Text or Images: We strive to ensure the accuracy and reliability of the text generated by 3rd party services such as OpenAI, NLPCloud etc... However, we cannot guarantee its accuracy or reliability. Users agree that they will use the generated text at their own risk and that "Ashkenazi Engineers (Jerusalem) LTD" is not liable for any damages or losses resulting from the use of the generated text.

11. Privacy Policy: Your use of the Application is subject to the provied Privacy Policy, which is incorporated into these Terms and Conditions by reference.

12. Disclaimer of Warranties: The Application is provided "as is" and without warranties of any kind, whether express or implied. I make no representations or warranties about the reliability, availability, timeliness, accuracy, suitability, or completeness of the Application or its content. To the fullest extent permitted by applicable law, I disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability: I, as the self-employed individual providing this application, will not be liable for any damages of any kind arising from the use of the Application, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

14. Termination: You may terminate this agreement at any time for any reason by giving written notice to the other party. Upon termination, you will no longer have access to the application. The termination of this agreement will not affect any rights or obligations that arose prior to the termination date.

15. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the self-employed individual is located, without giving effect to any principles of conflicts of law.

16. Any dispute arising out of or related to these Terms and Conditions shall be resolved through mediation in the jurisdiction in which the self-employed individual is located. If mediation is unsuccessful, the parties may pursue any other available remedies in accordance with applicable laws and regulations.

17. Entire Agreement: These Terms and Conditions constitute the entire agreement between you and the application provider and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and the application provider with respect to the Application.

18. Waiver: The failure of the application provider to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

19. Severability: If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms and Conditions shall remain in full force and effect.

20. By using the application, you agree to the terms and conditions outlined in this document. If you do not agree to these terms, please do not use the application. We reserve the right to update these terms and conditions at any time without prior notice.
